STS and TTO Transaction Procedure – Option A

1. Buyer issues an Irrevocable Corporate Purchase Order (ICPO) along with a TSA/CPA or details of their nominated vessel(s).

2. Seller issues a draft Sales and Purchase Agreement (SPA) or Memorandum of Understanding (MOU) for the Buyer to review, sign, and return.

3. Upon receipt of the signed SPA or MOU and POF (Proof of Funds) from the Buyer, Seller ratifies the agreement and provides an Escrow Agreement.

4. Both parties sign the Escrow Agreement, and each deposits 3% of the total product value into the escrow account to guarantee contract compliance.

5. Seller submits the following documents for Buyer’s confirmation:

• I. Ullage List / ATSC

• II. Tanker Documents (Q88)

• III. Seller’s Quality & Quantity Certificate

• IV. Certificate of Origin

• V. SGS Report for the Product

• VI. Initial Bill of Lading

6. Buyer reviews and verifies the provided documents, including proof of product (POP) and ship/tank positions, in preparation for injection or transfer operations.

7. Upon confirmation of the documents:

• Seller issues a Power of Attorney (POA) and Change of Ownership documents for the Buyer to arrange Ship Boarding (ATB) or injection protocols.

• Buyer, at their own cost, arranges a Quality and Quantity survey through SGS or an equivalent inspection company.

8. Buyer’s inspection company conducts inspection. After a successful injection and inspection:

• Buyer submits a Transfer Schedule to the Seller, detailing the operation plan if using multiple vessels, or directs the Seller to route the loaded vessel to the Buyer’s port.

9. After vessels are alongside and hoses are connected, and upon successful final inspection:

• Buyer makes 100% payment of the total product value within 24–36 hours via T/T or MT103 to the Seller’s appointed bank.

• Payment will correspond to the transferred quantity per each Buyer vessel.

10. Upon confirmation of payment, the Seller transfers the full Certificate of Ownership to the Buyer, legally finalizing the ownership of the goods.

11. Seller will instruct the escrow company to refund the escrow deposits and release commissions to intermediaries involved, within 48 hours of receiving full payment from the Buyer.
