EXECUTIVE SUMMARY.

The estimated project financing requirement is US$2.8 Billion, to be implemented in phases of approximately US$200 Million per month over a 14-month investment period.
The Government entities are expected to serve as the principal electricity off-takers upon execution of the required Power Purchase Agreements (PPA) and Power Purchase Guarantees (PPG), following completion of statutory licensing and regulatory approvals
INVESTMENT OPPORTUNITY

PROJECT FINANCING REQUIREMENT

• Total Program Value: US$2.8 Billion
• Monthly Drawdown: Approximately US$200 Million
• Duration: Fourteen (14) Months
• Total Installed Capacity: 2,800 MW
• Average Capacity per Province: 200 MW
• Geographic Coverage: Fourteen Provinces across Cambodia.
PROPOSED FINANCING STRUCTURE
Subject to successful commercial negotiations, banking due diligence, regulatory compliance and execution of definitive financing agreements, the proposed structure contemplates:
• Investors Irrevocable Letter of Offer or Financing Commitment.
• Documentary evidence of financial capacity issued by the investors banking institution or recognized financial intermediary.
• Negotiation and execution of mutually acceptable financing documentation.
• Where approved by all participating financial institutions and subject to applicable banking requirements, issuance of financial instruments (including SBLC where applicable) to support equipment financing and project execution.
• Equipment financing to facilitate procurement, engineering, logistics, construction and commissioning of the solar power facilities.
GOVERNMENT PARTICIPATION
Following presentation of satisfactory evidence of project financing capability and formal Expressions of Interest, the relevant Government authorities are expected to proceed with:
• Execution of the Power Purchase Agreement (PPA).
• Execution of the Power Purchase Guarantee (PPG).
• Facilitation of Independent Power Producer (IPP) licensing, subject to payment of applicable statutory fees and completion of regulatory requirements.
These arrangements are intended to provide long-term revenue certainty for investors while supporting national energy development objectives.
IMPLEMENTATION TIMELINE
Subject to receipt of all required documentation and fulfilment of all commercial, regulatory and banking conditions, the indicative implementation schedule is as follows:
Stage 1: Submission of Investors Expression of Interest.
Stage 2: Exchange of Corporate Information and Due Diligence Documentation.
Stage 3: Financial Capability Verification.
Stage 4: Negotiation and Execution of Investment and Financing Agreements.
Stage 5: Regulatory Approvals and Licensing.
Stage 6: Financial Close.
Stage 7: Financial Instrument Issuance (where applicable and approved).
Stage 8: Procurement of Equipment.
Stage 9: Construction and Commissioning.
The target timeline for completion of documentation and financial instrument issuance, where applicable, is approximately ten (10) banking days after receipt of all satisfactory documentation and fulfillment of agreed conditions.
