CURRENT NEW REPLACEMENT COST

To purchase the equivalent Huawei SmartLi equipment new today, based on the complete quantity of equipment included within this stock, would cost approximately £12.6 MILLION GBP.

This provides the customer with a clear comparison between the present-day cost of purchasing equivalent equipment new and the commercial opportunity represented by this stock.

The equipment being offered was manufactured in 2022, was purchased by us as unused and uncommissioned, and has never been placed into operational service.

Accordingly, the stock represents a very substantial saving compared with purchasing the equivalent Huawei SmartLi equipment new today.

SERIAL NUMBERS & NAMEPLATES

Battery serial-number information and identification documentation are included within the information supplied.

We also hold physical photographs of the Huawei equipment nameplates.

By way of example, one physical module identification plate shows:

Model: ESM-6440P1

P/N / Item: 01075302

S/N: UB21C0018868

Made in China

Additional serial-number and identification information can be provided as required during due diligence.

If your customer wishes to independently verify any equipment, we can also arrange a live WhatsApp video call from the warehouse, during which the physical equipment, cabinets, modules, labels and serial numbers can be shown live.

CONDITION / SOH / TESTING

The equipment was purchased by us as unused and uncommissioned equipment and has not been placed into operational service.

When we originally purchased the equipment, we attended with our own testing equipment and carried out our own checks. We were satisfied with the equipment and its condition.

We do not currently hold a separate independent current SOH report that we would represent to your customer as a formal third-party SOH certificate.

Rather than asking your customer to rely solely upon our assessment, we are completely open to independent technical inspection and testing before purchase.

Your customer may send its own qualified battery engineers and technicians to inspect the equipment and carry out appropriate testing of:

• Individual battery modules

• Battery voltage and condition

• State of Health (SOH), where appropriate testing equipment permits

• SmartLi cabinets

• BMS and associated equipment

• Identification/nameplates

• Serial numbers

• Physical condition

• Appropriate electrical and functional testing

We have absolutely no objection to this.

Your customer may also appoint a suitably qualified Huawei representative or Huawei-authorised engineer to inspect and test the equipment.

Our position is straightforward: the purchaser is welcome to independently test and verify the equipment before completing the transaction.

HUAWEI DESIGN LIFE / WARRANTY

The Huawei technical information supplied for the SmartLi system specifies a 15-year design/service life.

We want to make an important distinction between design life and manufacturer warranty.

We are not representing the 15-year design life as automatically meaning that a 15-year transferable Huawei warranty remains on this particular inventory.

We understand from previous discussions that manufacturer support/warranty may remain available subject to Huaweis requirements, including appropriate installation and commissioning.

The precise warranty/support entitlement should therefore be confirmed directly with Huawei against the equipment serial numbers.

Your customer is completely welcome to contact Huawei, provide the relevant equipment information and serial numbers and obtain confirmation of:

• Remaining warranty entitlement, if any

• Transferability

• Installation requirements

• Commissioning requirements

• Requirements for Huawei-authorised installers

• Continuing technical support

This provides complete transparency and allows the customer to obtain the warranty position directly from Huawei.

PREVIOUS UAE CUSTOMER / DUE DILIGENCE

The equipment had previously been intended for a customer/project in the UAE.

Extensive due diligence had been undertaken in connection with that proposed transaction, and the equipment/system had been discussed with Huawei in the UAE.

The transaction ultimately did not progress to shipment because of the regional conflict and associated circumstances affecting the project. It was not abandoned because of an identified technical problem with the equipment.

TECHNICAL DOCUMENTATION

The documentation supplied includes technical information relating to the Huawei SmartLi architecture and its battery-management system.

The SmartLi architecture incorporates battery monitoring and management at module, cabinet/rack and system level, including BMU, BCU and SBCU architecture.

The technical information covers matters including:

• Voltage monitoring

• Temperature monitoring

• Current monitoring

• SOC monitoring

• SOH monitoring capability

• Charging/discharging protection

• Alarm functions

• Operating and storage conditions

• System architecture

The Huawei technical information also references certifications/standards including UN38.3, IEC62619, IEC62040, UL1642 and RoHS.

SAFETY / TRANSPORT DOCUMENTATION

We are also supplying the available Safety Data Sheet relating to the lithium battery technology.

The transport information identifies:

UN3480 – LITHIUM ION BATTERIES – CLASS 9

This documentation can be provided to the appropriate dangerous-goods freight specialists as part of the international shipping process.

If your customers logistics team requires the specific UN38.3 test summary/report applicable to the equipment, please identify exactly what they require and we will check the available documentation.

PROOF OF OWNERSHIP / AUTHORITY TO SELL

I can confirm that I purchased and own the stock and have full authority to sell it.

For formal buyer due diligence, I am also prepared to have our UK solicitor provide written confirmation of ownership and authority to sell based upon the relevant documentation.

This means your customers legal advisers can receive independent professional confirmation of title rather than simply relying upon a statement from ourselves.

COMMISSION & NON-CIRCUMVENTION AGREEMENT

Regarding your proposal for a Commission & Non-Circumvention Agreement, yes, we are happy to proceed with an appropriate agreement before you formally introduce your customer.

We fully understand that if you introduce a genuine purchaser, your commercial position and agreed commission should be protected.

Please send the proposed agreement across for review.

INSPECTION & LIVE VERIFICATION

We welcome serious technical due diligence.

Your customers engineers can attend the relevant warehouse location and inspect the equipment themselves.

They can verify:

• Huawei equipment

• Model numbers

• Serial numbers

• Nameplates

• Battery modules

• SmartLi cabinets

• Physical condition

• Appropriate battery measurements/testing

• Equipment quantities

A Huawei representative or appropriately qualified Huawei engineer may also attend if the purchaser wishes.

Alternatively, before travelling, we can arrange a live WhatsApp video inspection showing the equipment, cabinets, battery modules, nameplates and requested identification information in real time.

We have no issue with the customer carrying out comprehensive due diligence. For a transaction of this size, we would expect them to do so.

ENERGY CAPACITY

Each Huawei ESM-6440P1 module is rated at:

64 V × 40 Ah = approximately 2.56 kWh nominal energy.

Therefore:

1,920 modules × 2.56 kWh

= approximately 4,915.2 kWh

Equivalent nominal module energy:

APPROXIMATELY 4.915 MWh

UK / ESSEX MODULE CAPACITY

1,296 × 2.56 kWh

= approximately 3,317.76 kWh

= approximately 3.318 MWh

SWITZERLAND MODULE CAPACITY

624 × 2.56 kWh

= approximately 1,597.44 kWh

= approximately 1.597 MWh

COMBINED NOMINAL ENERGY

Approximately 4.915 MWh

IMPORTANT TECHNICAL DISTINCTION

MWh represents stored ENERGY.

MW represents instantaneous POWER OUTPUT.

The inventory therefore represents approximately 4.915 MWh of nominal battery-module energy.

A definitive MW output figure for a deployed installation should not be quoted until the final cabinet configuration, BMS, UPS/power-conversion equipment and permitted discharge rate have been technically confirmed for the purchasers intended installation.

WHAT HUAWEI SMARTLI IS USED FOR

Huawei SmartLi is an enterprise lithium battery platform principally designed for critical-power and UPS applications.

Potential applications include:

* Data centres

* Hyperscale data centres

* AI / High Performance Computing facilities

* Enterprise IT infrastructure

* Telecom facilities

* Critical communications infrastructure

* UPS energy storage

* Mission-critical backup power

* Financial infrastructure

* Banking infrastructure

* Government infrastructure

* Industrial facilities

* Emergency power systems

* Critical-load protection

DATA CENTRE APPLICATION

For data-centre applications, the batteries can form part of the facilitys UPS and critical-power architecture.

In simple terms, the battery system stores electrical energy so that, if utility power is interrupted or there is a disturbance in the electrical supply, the UPS/battery infrastructure can support critical IT equipment while the sites standby generation or alternative power source takes over.

This is particularly important for:

* Server racks

* AI computing equipment

* High Performance Computing infrastructure

* Networking equipment

* Data storage systems

* Telecom equipment

* Control systems

* Other mission-critical electrical loads

The principal advantages of lithium SmartLi architecture compared with conventional lead-acid UPS battery installations include high energy density and enterprise battery-management capability.

COMPLETE SYSTEM / INTEGRATION

The purchaser will need to engineer the equipment into its intended electrical architecture.

Depending upon the proposed application, this may involve:

* UPS systems

* Power conversion equipment

* Battery management

* Electrical distribution

* Switchgear

* Protection systems

* Monitoring

* Cabling

* Site controls

* Cooling/environmental management

* Integration engineering

The precise equipment required depends on whether the purchaser intends to deploy the batteries for a data centre, telecom installation, UPS application or another critical-power/energy-storage project.

The equipment should therefore be technically evaluated by the purchasers engineers before deployment.

CURRENT NEW / REPLACEMENT VALUE

For comparison purposes, current market/list-price references for the Huawei ESM-6440P1 battery module have been around:

APPROXIMATELY US$5,900 PER MODULE

Using approximately US$5,921 per module as a market/list-price reference:

1,920 modules × US$5,921

= approximately US$11,368,320

Therefore, the battery modules alone represent approximately:

US$11.37 MILLION

before accounting for the SmartLi cabinets and associated cabinet equipment.

Indicative market references previously identified for comparable Huawei SmartLi cabinet equipment have been approximately:

US$29,000 – US$30,000 PER CABINET

For 126 cabinets:

126 × US$29,000

= approximately US$3,654,000

126 × US$30,000

= approximately US$3,780,000

This produces an indicative combined component/list value of approximately:

US$15.02 MILLION – US$15.15 MILLION

for the battery modules and 126 cabinets, before any project-specific engineering, installation, integration, shipping or commissioning costs.

Accordingly, an appropriate headline indication for the complete inventory is:

INDICATIVE CURRENT NEW / REPLACEMENT VALUE:

APPROXIMATELY £12.6 MILLION

This should be presented as an indicative replacement/list value rather than a binding Huawei quotation.

The actual price payable today for a completely new order would depend upon:

* Huawei/distributor quotation

* Quantity/volume discount

* Project configuration

* Cabinet specification

* Required control/BMS equipment

* UPS or power-conversion architecture

* Country of supply

* Freight

* Installation

* Integration

* Commissioning

A large institutional purchaser may therefore negotiate pricing below published component/list prices.

Nevertheless, based upon the available market/list-price references, replacing an inventory of this scale with equivalent new Huawei equipment represents a multi-million-pound procurement, with approximately £12.6 million being a reasonable indicative headline replacement/list-value figure for marketing purposes, subject to supplier quotation and final system configuration.

CURRENT AVAILABILITY

* United Kingdom

* Switzerland

The stock is physically available.

The equipment is palletised and can be inspected by a prospective purchasers engineers before completion.

INSPECTION

Qualified purchasers can arrange a physical inspection.

Their technical team may:

* Inspect the battery modules

* Inspect the SmartLi cabinets

* Verify model/part numbers

* Inspect labels and manufacturing information

* Verify quantities

* Examine physical condition

* Conduct appropriate technical testing by agreement

DOCUMENTATION / DUE DILIGENCE

Additional detailed documentation, individual serial-number schedules and commercially sensitive information can be provided through the agreed transaction process.

Purchasers should carry out their own technical due diligence and confirm compatibility with their intended UPS, PCS, BMS and electrical architecture.
